1. Acceptance of These Terms

Welcome to MyDirector AI. These Terms of Service (“Terms”) govern your access to and use of the MyDirector AI platform, including our website, applications, AI-powered interview tools, content creation services, human editorial services, social media publishing features, and all related products, features, and services (collectively, the “Services”).

These Terms constitute a legally binding agreement between you and MyDirector AI Inc. (“MyDirector,” “Company,” “we,” “us,” or “our”) and you (“you,” “your,” or “User”).

By accessing, registering for, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, Cookie Policy, and any other policies or guidelines we may publish from time to time, all of which are incorporated into these Terms by reference. If you are using the Services on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case “you” includes that entity.

If you do not agree to these Terms, you must not access or use the Services.

We may modify these Terms from time to time to reflect changes in our Services, applicable laws, or business practices. If we make material changes, we will provide notice by updating the “Last Updated” date, posting a notice within the Services, sending an email to the address associated with your account where required by law, or by any other reasonable means. Your continued use of the Services after the updated Terms become effective constitutes your acceptance of the revised Terms.

Certain features or services may be subject to additional terms, policies, or guidelines. In the event of any conflict between these Terms and any additional terms applicable to a particular feature or service, the additional terms will govern solely with respect to that feature or service.

These Terms apply to all visitors, registered users, subscribers, customers, and any other individual or entity that accesses or uses the Services.

2. Eligibility and Account Registration

2.1 Eligibility

To access or use the Services, you must be at least eighteen (18) years of age or the age of legal majority in your jurisdiction, whichever is greater, and possess the legal capacity to enter into a binding agreement.

By creating an Account or using the Services, you represent and warrant that you meet the eligibility requirements set forth in these Terms, all information you provide is accurate, complete, and current, you will maintain the accuracy of your account information, your use of the Services complies with all applicable laws, regulations, and third-party requirements, and you are not prohibited from using the Services under any applicable law or subject to sanctions or restrictions that would prevent your use of the Services.

The Services are intended for business professionals, creators, entrepreneurs, and organizations seeking AI-assisted content creation and social media management. The Services are not intended for children, and we do not knowingly permit individuals under the required age to register for an Account.

If we determine that you do not meet the eligibility requirements or have provided false or misleading information, we reserve the right to suspend or terminate your Account at our sole discretion.

2.2 Business Accounts

If you create or use an Account on behalf of a company, partnership, organization, or other legal entity, you represent and warrant that you have the legal authority to bind that entity to these Terms.

In such cases:

• The terms “you” and “your” refer to both you and the legal entity you represent.
• The legal entity is responsible for all activities conducted through the Account.
• You are responsible for ensuring that all authorized users of the Account comply with these Terms.
• Any breach of these Terms by an authorized user shall be deemed a breach by the entity.

MyDirector may request reasonable documentation to verify your authority to act on behalf of a business or organization.

2.3 Account Registration

To access certain features of the Services, you must create an Account and provide accurate, complete, and current registration information. You agree to provide truthful and up-to-date information, promptly update your Account information if it changes, register only one Account unless otherwise authorized by MyDirector, and not impersonate another person or use false or misleading information.

During onboarding, you may be asked to provide information about your business, brand, content goals, and connected social media accounts to personalize the Services. By connecting third-party accounts, you authorize MyDirector to access and process information necessary to provide the requested functionality, subject to your permissions and the applicable third-party terms.

We reserve the right to refuse registration, suspend Accounts, or reclaim usernames where necessary to protect the security, integrity, or lawful operation of the Services.

2.4 Account Security

You are responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account. You agree to keep your login credentials secure, use a strong, unique password, notify MyDirector immediately of any unauthorized access or suspected security breach, and log out when using shared or public devices.

You may not share your Account credentials unless expressly permitted under your Subscription. While MyDirector maintains reasonable security measures, no system is completely secure, and you are responsible for safeguarding your Account. We may suspend, restrict, or terminate your Account if we reasonably believe it has been compromised or is being used in violation of these Terms or applicable law.

3. Description of the Services

3.1 AI-Powered Content Creation Platform

MyDirector provides an integrated platform that leverages artificial intelligence and other technologies to assist users in creating and managing digital content. Depending on your Subscription and available features, the Services may include AI-guided interviews and content discovery, AI-assisted content generation, content editing and refinement, human editorial assistance, social media scheduling and publishing, analytics and performance reporting, content organization and management, and integrations with supported third-party services.

The Services are intended to assist users in producing authentic content efficiently and are not intended to replace your independent judgment, creativity, or decision-making.

3.2 AI Interviews

As part of the Services, MyDirector may conduct AI-guided interviews designed to help capture your ideas, experiences, expertise, business information, brand voice, and content objectives. These interviews may involve real-time voice interactions, audio and video recordings, automated transcription, AI-generated follow-up questions, AI-generated content suggestions, and processing of interview responses to generate personalized content.

By participating in AI interviews, you acknowledge and consent to the collection, processing, recording, transcription, and analysis of the information you voluntarily provide, as further described in our Privacy Policy.

3.3 Human Editorial Review

Certain features of the Services incorporate human editorial review to improve the quality, accuracy, presentation, or usability of AI-generated content.

Authorized MyDirector personnel or approved service providers may access interview recordings, transcripts, AI-generated drafts, or related materials solely for purposes such as reviewing AI-generated outputs, editing or refining content, correcting formatting or production issues, improving the quality of deliverables, providing customer support, and maintaining and improving the Services. All personnel with such access are subject to appropriate confidentiality and security obligations.

3.4 AI-Generated Content

The Services may generate content using artificial intelligence, including but not limited to video concepts, hooks and titles, scripts, captions, summaries, social media posts, video clips, marketing suggestions, and other creative materials.

AI-generated content is produced using automated systems and may not always be accurate, complete, original, or suitable for your intended purposes. You acknowledge that AI-generated outputs may contain factual inaccuracies, omissions, biases, or similarities to content generated for other users. You are solely responsible for reviewing all AI-generated content before using, publishing, or distributing it.

3.5 Content Approval

MyDirector is designed to place users in control of content publication. Except where you expressly authorize otherwise, content generated through the Services is intended to be reviewed and approved by you before it is published to your connected social media accounts.

You acknowledge that you are responsible for reviewing all content before approval; approval constitutes your authorization for publication; you are solely responsible for the accuracy, legality, and appropriateness of approved content. MyDirector does not guarantee the accuracy, legality, or effectiveness of any content generated through the Services.

3.6 Social Media Publishing

The Services may allow you to connect supported third-party social media accounts and authorize MyDirector to publish content on your behalf. By connecting your accounts, you authorize MyDirector to access your connected accounts as necessary to provide the Services, schedule and publish content that you have approved, retrieve analytics and performance information, and synchronize content across supported platforms.

Publishing functionality depends on the availability and continued operation of third-party platforms and their APIs. MyDirector is not responsible for interruptions, delays, restrictions, account suspensions, API changes, or other actions taken by third-party platforms.

3.7 Analytics and Reporting

The Services may collect and display analytics and performance metrics relating to your content and connected social media accounts. Such analytics may include, without limitation, views, impressions, reach, engagement, likes, comments, shares, follower growth, and other metrics available from third-party platforms.

Analytics are provided for informational purposes only. Because they originate from third-party platforms, MyDirector does not guarantee their completeness, availability, or accuracy.

3.8 Beta Features

Certain features of the Services may be designated as beta, preview, experimental, early access, or similar offerings (“Beta Features”). Beta Features may be incomplete or contain errors, may change without prior notice, may be modified or discontinued at any time, may operate differently from future production versions, and may be subject to additional limitations or requirements.

To the fullest extent permitted by law, Beta Features are provided on an “as is” and “as available” basis without any warranty or guarantee of availability, performance, or functionality.

Your use of Beta Features is voluntary and at your own risk. MyDirector welcomes feedback regarding Beta Features, which may be used to improve future versions of the Services in accordance with these Terms.

4. User Accounts

4.1 Account Responsibilities

You are responsible for all activities conducted through your Account, including your use of the Services, connected third-party platforms, and any content generated, uploaded, approved, or published through your Account.

You agree to use the Services in compliance with these Terms and applicable law, keep your Account credentials confidential, monitor your Account for unauthorized activity, notify MyDirector immediately of any suspected unauthorized access or security breach, and ensure that anyone authorized to use your Account complies with these Terms. You remain responsible for all activities under your Account unless otherwise required by applicable law.

You agree to provide accurate, complete, and current information when creating and using your Account, including your contact details, business information, payment information, and any other information required to provide the Services.

You also represent that you have the necessary rights to provide such information, that it does not infringe the rights of any third party, and that you will promptly update it if it changes. MyDirector is not responsible for issues resulting from inaccurate or outdated information.

4.2 Connected Social Media Accounts

Certain features of the Services require you to connect one or more third-party social media accounts.

By connecting a social media account, you:

• Represent and warrant that you own or are authorized to access and manage the connected account.
• Authorize MyDirector to access, retrieve, process, publish, and manage content on your behalf in accordance with your instructions and permissions.
• Acknowledge that your use of connected platforms remains subject to the applicable terms, community guidelines, and policies of those third-party providers.
• Remain solely responsible for all content published through your connected accounts, including content that you approve for publication through the Services.

You may revoke MyDirector's access to a connected account at any time by disconnecting the integration or through the applicable third-party platform's authorization settings. Revoking access may limit or disable certain features of the Services.

MyDirector is not responsible for the availability, security, functionality, or policies of third-party platforms, including any suspensions, removals, restrictions, API changes, or other actions affecting your connected accounts.

5. Account Suspension

MyDirector may suspend or terminate your Account if you violate these Terms or applicable law, provide false or misleading information, fail to pay applicable fees, compromise the security or integrity of the Services, engage in unlawful or unauthorized activities, and create legal, security, or operational risks for MyDirector or others.

Where appropriate, we may notify you and provide an opportunity to resolve the issue before termination. However, we may suspend or terminate your Account immediately, as necessary, to protect the Services, comply with legal obligations, or prevent fraud or security risks.

Termination does not affect any rights or obligations that accrued before your Account was suspended or terminated.

6. Subscription Plans, Billing and Payments

6.1 Subscription Plans

MyDirector may offer various Subscription plans, including free, trial, monthly, annual, enterprise, or other plans that provide access to different features and usage limits. Subscription features, pricing, usage allowances, and availability may vary by plan and may change from time to time.

Depending on your plan, you may receive access to AI interviews, AI-generated content, human editorial services, social media publishing, analytics and reporting, customer support, and other premium features. Certain features may be subject to fair use limits or additional usage-based charges, where applicable.

Unless otherwise stated, paid Subscriptions automatically renew at the end of each billing cycle and are canceled only if canceled before the renewal date. By purchasing a Subscription, you authorize MyDirector and its payment processor to automatically charge your selected payment method for recurring fees, applicable taxes, and authorized charges until your Subscription is canceled.

6.2 Payment Processing

Payments are processed through independent third-party payment providers selected by MyDirector. By submitting payment information, you authorize MyDirector and its payment processors to charge your designated payment method for all applicable fees.

You represent and warrant that:

• You are authorized to use the payment method provided.
• Your payment information is accurate and current.
• You will promptly update your payment information.

MyDirector does not store complete payment card information except as necessary to facilitate billing or as permitted by applicable law. Payment processing is governed by the terms and privacy policies of the applicable payment processor.

6.3 Taxes

Subscription fees do not include applicable taxes unless otherwise stated. You are responsible for all applicable taxes associated with your purchase or use of the Services, except taxes imposed on MyDirector's income. Where required, MyDirector or its payment processor may collect and remit applicable taxes.

6.4 Failed Payments

If your payment cannot be processed, MyDirector may retry the payment, suspend or limit your access to the Services, downgrade your Subscription, or, after reasonable notice where appropriate, terminate your Subscription. You remain responsible for any outstanding fees incurred before suspension or termination.

6.5 Price Changes

MyDirector may modify Subscription pricing or introduce new fees from time to time. Where required by law, we will provide reasonable notice before any material changes to pricing take effect. Price changes generally apply to future billing periods, and your continued use of the Services constitutes acceptance of the updated pricing.

6.6 Cancellation

You may cancel your Subscription at any time through your Account settings or by following the cancellation instructions provided within the Services.

Unless otherwise required by law, your cancellation takes effect at the end of the current billing period; you will retain access to paid features until your Subscription expires; no future recurring charges will be made after cancellation, and canceling your Subscription does not automatically delete your Account or personal data, which must be deleted separately in accordance with our Privacy Policy.

7. Refunds

Except as required by applicable law or expressly stated otherwise, all Subscription fees are non-refundable. MyDirector does not provide cash refunds or credits for partial billing periods, unused Subscription time, unused AI interviews, unused publishing credits, generated content, customer-approved content, or downgrades made during an active billing period.

Lead Guarantee: Notwithstanding the foregoing, if you have not received a lead through content published using the Service within your first thirty (30) days of your Subscription, and you published the maximum number of videos permitted under your Subscription tier during that thirty (30)-day period, you may email hello@mydirector.ai to request a free one (1)-month extension of your Subscription at no additional charge.

If, after this extension, you still have not received a lead, and you again published the maximum number of videos permitted under your Subscription tier during the extension period, you may request one additional and final one (1)-month extension. A maximum of two (2) total months of free extension may be granted under this Lead Guarantee; no further extensions or accommodations will be provided after that point.

Eligibility for each extension is based on your published video count for the relevant period, as recorded in your account.

Separately, and notwithstanding the foregoing, MyDirector may, in its sole discretion, issue a full or partial refund, service credit, or other accommodation outside of this Lead Guarantee on a case-by-case basis. Any such accommodation does not obligate MyDirector to provide similar refunds or credits in the future.

Nothing in this Section limits any non-waivable consumer rights or statutory remedies available under applicable law.

8. AI Services and Disclosures

8.1 AI Functionality and Limitations

The Services use artificial intelligence to facilitate features such as AI-guided interviews, transcription, content generation, editing, content recommendations, workflow automation, analytics, and other AI-assisted functionality.

To provide these Services, MyDirector may process interview recordings, uploaded media, prompts, business information, branding materials, and other User Content.

Artificial intelligence is intended to assist your creative process and is not a substitute for your independent judgment. AI-generated content may be inaccurate, incomplete, outdated, biased, or similar to content generated for other users or publicly available sources. You are solely responsible for reviewing, verifying, editing, and approving all AI-generated content before using or publishing it.

MyDirector does not guarantee that AI-generated content will be accurate, original, compliant with applicable laws, or achieve any specific business, marketing, engagement, or commercial results.

8.2 Human Review and Third-Party AI Providers

To improve the quality of the Services, authorized MyDirector personnel and approved service providers may access interview recordings, transcripts, AI-generated drafts, rough cuts, and related User Content solely to provide editorial services, customer support, troubleshoot issues, maintain the Platform, and improve the Services. All such access is subject to appropriate confidentiality and security obligations.

The Services also rely on third-party AI and technology providers for functions such as speech recognition, transcription, language processing, voice synthesis, cloud infrastructure, and content generation. These providers process User Content only as necessary to provide the Services and in accordance with our Privacy Policy and applicable contractual obligations.

8.3 AI Improvements

MyDirector may introduce new AI features, improve existing functionality, or replace underlying AI technologies as the Services evolve.

Unless expressly stated otherwise in our Privacy Policy or a separate agreement, MyDirector does not use your interview recordings, uploaded media, or other User Content to train publicly available artificial intelligence models. Any processing of your information is performed solely to provide, maintain, secure, and improve the Services in accordance with these Terms, our Privacy Policy, and applicable law.

9. Interview Recordings and User Consent

9.1 Recording Consent

By using the AI interview features, you expressly authorize MyDirector to:

• Record your audio and video during AI-guided interview sessions.
• Capture your spoken responses and other information you voluntarily provide during the interview.
• Process interview recordings to generate transcripts, summaries, clips, captions, scripts, and other AI-assisted content.
• Use interview materials to provide, maintain, personalize, and improve the Services.

You represent and warrant that:

• You have the legal authority to participate in and record the interview.
• Any individual appearing in or participating in an interview has provided any legally required consent for recording and processing.
• Your interview content does not violate any applicable law or the rights of any third party.

You acknowledge that you are solely responsible for obtaining any legally required notices or consents from third parties whose voice, image, likeness, or personal information may be included in interview recordings.

9.2 Audio, Video Processing and Transcription

During AI interview sessions, MyDirector may process audio and video recordings using automated technologies and authorized service providers to provide the Services, including speech recognition, transcription, content generation, clip creation, editing, interview personalization, and other related functionality. Such processing may occur during or after an interview session.

Interview recordings may be automatically transcribed using artificial intelligence. These transcripts may be used to generate summaries, scripts, captions, titles, and other AI-generated content; support editorial review; personalize future interviews; and improve the Services.

You acknowledge that portions of your interview data may be processed by trusted third-party service providers in accordance with our Privacy Policy. While MyDirector uses commercially reasonable efforts to provide accurate processing and transcription, automated technologies may produce inaccuracies or omissions. You remain solely responsible for reviewing and approving all generated content before it is used or published.

9.3 AI Processing

Interview recordings, transcripts, prompts, uploaded materials, and related User Content may be processed by artificial intelligence technologies to provide the Services. Such processing may include natural language understanding, content generation, personalization, contextual memory, workflow automation, recommendation generation, video segmentation, draft creation, and content optimization.

MyDirector uses AI solely to provide and improve the Services in accordance with these Terms and our Privacy Policy. Unless expressly stated otherwise, your User Content is not used to train publicly available artificial intelligence models.

9.4 Human Editorial Access

To improve the quality and accuracy of the Services, authorized MyDirector personnel and approved service providers may access certain interview materials. Depending on the functionality being provided, authorized personnel may access full interview recordings, audio files, video files, interview transcripts, AI-generated rough cuts, and generated scripts, captions, and other content.

Such access is limited to purposes including reviewing AI-generated outputs, correcting processing or production issues, editing and refining content, providing customer support, and maintaining and improving the Services.

All personnel with access to interview materials are subject to appropriate confidentiality, privacy, and security obligations and are granted access only to the extent reasonably necessary to perform their assigned responsibilities.

10. User Content

10.1 Ownership of User Content

As between you and MyDirector, you retain all right, title, and interest in and to your User Content, including interview recordings, uploaded videos, audio, images, and other media, Business and brand information, prompts and instructions, social media content, documents and files, AI interview responses, and other content you submit through the Services.

Except for the limited rights expressly granted under these Terms, nothing in these Terms transfers ownership of your User Content to MyDirector. You acknowledge that certain AI-generated outputs may be based on or derived from your User Content and that ownership of such outputs is subject to these Terms and applicable law.

10.2 License Granted to MyDirector

To enable MyDirector to provide the Services, you grant MyDirector and its affiliates, contractors, subprocessors, and authorized service providers a worldwide, non-exclusive, royalty-free, transferable (solely as necessary to provide the Services), sublicensable, and limited license to:

• Host, store, process, reproduce, transmit, and display your User Content.
• Analyze and process your User Content using artificial intelligence and automated technologies.
• Generate transcripts, summaries, captions, scripts, clips, and other AI-generated outputs.
• Edit, enhance, format, and refine your User Content through authorized human editorial review.
• Publish content to your connected social media accounts in accordance with your instructions and approvals.
• Create backup copies necessary for security, disaster recovery, and business continuity.
• Perform analytics, troubleshooting, maintenance, security monitoring, and support.
• Otherwise, use your User Content solely as reasonably necessary to provide, maintain, secure, and improve the Services.

This license remains in effect for as long as necessary to provide the Services and will terminate upon deletion of your User Content or Account, subject to our data retention practices, backup procedures, legal obligations, and the rights described in our Privacy Policy.

For the avoidance of doubt, MyDirector does not claim ownership of your User Content and will not use your interview recordings, uploaded media, or other User Content to train publicly available artificial intelligence models without your separate authorization.

10.3 User Representations

You represent and warrant that:

• You own or otherwise possess all rights, licenses, consents, and permissions necessary to submit and use your User Content through the Services.
• Your User Content does not infringe or misappropriate any copyright, trademark, patent, trade secret, right of publicity, privacy right, or other proprietary right of any third party.
• Your User Content complies with these Terms and all applicable laws and regulations.
• You have obtained all legally required permissions from any individual whose voice, image, likeness, or personal information appears in your User Content.
• Your User Content is accurate to the best of your knowledge and does not intentionally contain false, misleading, or deceptive information.
• Your use of the Services and your User Content will not violate the terms or policies of any connected third-party platform.

You acknowledge that MyDirector may rely upon these representations when providing the Services.

11. Prohibited Content

You agree not to upload, submit, record, generate, publish, or otherwise make available through the Services any User Content that:

• Violates any applicable law or regulation.
• Infringes the intellectual property or proprietary rights of another person or entity.
• Violates any person's privacy, publicity, or other legal rights.
• Is fraudulent, deceptive, or intentionally misleading.
• Is defamatory, libelous, harassing, threatening, abusive, or discriminatory.
• Promotes violence, terrorism, hate speech, or unlawful activities.
• Contains sexually explicit, exploitative, or otherwise unlawful material.
• Contains malicious software, viruses, ransomware, or other harmful code.
• Interferes with or disrupts the integrity, security, or operation of the Services.
• Circumvents technical restrictions or attempts to gain unauthorized access to the Services or third-party systems.
• Violates the terms, community guidelines, or policies of any connected social media platform.

MyDirector reserves the right, but not the obligation, to remove, restrict, refuse to process, disable access to, or report any User Content that we reasonably believe violates these Terms, applicable law, or the rights of any third party. We may also suspend or terminate your Account in accordance with these Terms if your User Content poses legal, security, or operational risks to MyDirector, its users, or third parties.

12. AI-Generated Content

12.1 Ownership of Content

Subject to your compliance with these Terms and applicable law, you retain ownership of your original User Content and, to the extent permitted by applicable law and the rights of third parties, any AI-generated content created specifically for your Account through the Services.

MyDirector does not claim ownership of AI-generated content created for you. However, you acknowledge and agree that AI-generated content may not be unique, similar or identical outputs may be generated for other users, certain AI-generated content may include elements derived from publicly available information or materials supplied by you, and ownership and enforceability of intellectual property rights in AI-generated content may vary depending on applicable law.

Nothing in these Terms grants you ownership of MyDirector's software, artificial intelligence systems, algorithms, prompts, workflows, models, templates, proprietary methodologies, or other intellectual property used to generate the content.

12.2 Review Before Publishing

You are solely responsible for reviewing and approving all AI-generated content before it is used or published. Even if assisted by human editors or recommendations, you remain responsible for ensuring content is accurate and complete, legally compliant, free of third-party rights violations, appropriate for publication, and compliant with third-party platform policies. MyDirector is not responsible for any content you choose to publish or distribute.

12.3 Accuracy Disclaimer

Artificial intelligence is an evolving technology and may occasionally generate inaccurate, incomplete, outdated, biased, misleading, or otherwise inappropriate content. MyDirector makes no representation or warranty that AI-generated content will be factually accurate, free from errors or omissions, original or exclusive, suitable for any particular purpose, compliant with applicable laws or industry standards, achieve any desired marketing or business outcome, or be accepted or promoted by any third-party platform.

AI-generated content is provided for informational and creative assistance only. You are solely responsible for independently reviewing, verifying, modifying, and approving all content before relying upon it or making it publicly available.

12.4 Intellectual Property Considerations

You are solely responsible for ensuring that your use of AI-generated content does not infringe the intellectual property or other legal rights of any third party.

You acknowledge that:

• Artificial intelligence may generate content that resembles existing works.
• AI-generated content may unintentionally resemble publicly available materials or content generated for other users.
• Copyright, trademark, publicity, and other intellectual property laws continue to apply to your use of AI-generated content.

MyDirector does not warrant that AI-generated content is free from third-party intellectual property claims or that it is eligible for copyright protection under applicable law.

If you intend to use AI-generated content for commercial, advertising, promotional, or other significant purposes, you are responsible for conducting any legal or professional review you consider appropriate before publication or distribution.

MyDirector reserves the right to remove or refuse to process AI-generated content that it reasonably believes violates these Terms, applicable law, or any third party's intellectual property rights.

13. Human Editorial Services

Human editorial services may include reviewing and refining AI-generated content; improving scripts, captions, titles, and hooks; editing video clips and rough cuts; correcting formatting or production issues; and enhancing clarity, structure, and presentation. Editorial services are provided solely to support content quality and do not constitute professional advice or a guarantee of legal, factual, or regulatory compliance.

Authorized MyDirector personnel or approved service providers may access limited User Content as needed to provide editorial services, including interview recordings, transcripts, AI-generated drafts, rough cuts, and related materials. Such access is limited to what is reasonably necessary to deliver the Services, resolve technical issues, support users, and improve platform functionality. Editorial review does not include legal, regulatory, or compliance verification unless expressly agreed in writing.

MyDirector retains reasonable editorial discretion over how editorial services are provided, including the methods, workflows, technologies, and personnel used to perform them.

While our editors strive to improve the quality of AI-generated content, MyDirector does not guarantee that editorial review will identify or correct every error, omission, factual inaccuracy, legal issue, or production concern.

You acknowledge and agree that:

• Editorial recommendations are suggestions only.
• You retain sole responsibility for reviewing and approving all content before publication.
• MyDirector is not responsible for the accuracy, legality, completeness, or effectiveness of content that you choose to publish.
• MyDirector may decline to edit, produce, or assist with content that violates these Terms, applicable law, third-party rights, or the policies of connected platforms.

All editorial personnel are subject to appropriate confidentiality, privacy, and security obligations and are granted access only to the information reasonably necessary to perform their assigned responsibilities.

14. Social Media Integrations

14.1 Connected Platforms

The Services allow you to connect to supported third-party platforms, including Instagram, TikTok, YouTube, LinkedIn, and other platforms we may support from time to time. These integrations enable you to connect accounts, retrieve account information, publish or schedule approved content, and access analytics and performance data, subject to platform availability and your Subscription.

By connecting a third-party account, you authorize MyDirector to access and use the permissions granted to provide the Services, including retrieving account data, accessing media and analytics, and publishing or scheduling content you have approved.

You represent that you are authorized to connect and manage each account and that your use complies with applicable third-party platform terms. You may revoke access at any time through the Services or the relevant third-party platform, though this may limit certain features.

The Services use YouTube API Services to provide the YouTube features described above. By using the YouTube features of the Services, you are agreeing to be bound by the YouTube Terms of Service. Information collected through the YouTube API Services is handled as described in our Privacy Policy and by the Google Privacy Policy.

14.2 Third-Party APIs

The Services rely on application programming interfaces (“APIs”) and other services provided by third parties. MyDirector does not own or control these APIs and cannot guarantee continuous availability, uninterrupted access, compatibility with future platform updates, the accuracy of third-party data, or the availability of specific API features.

MyDirector is not responsible for delays, interruptions, service failures, API limitations, permission changes, or other issues resulting from third-party providers or their technical infrastructure.

14.3 Platform Changes

Third-party social media platforms may modify, suspend, restrict, or discontinue their services, APIs, permissions, policies, algorithms, or technical requirements at any time. MyDirector reserves the right to modify, suspend, or discontinue any integration or related functionality where necessary due to changes imposed by third-party providers.

You acknowledge that such changes may affect publishing capabilities, analytics availability, scheduling features, content synchronization, account connectivity, and other platform functionality. MyDirector shall not be liable for any loss, interruption, delay, or inability to provide Services resulting from actions or omissions of third-party platforms.

14.4 Publishing Limitations

MyDirector provides tools to publish content to connected social media platforms; however, you remain solely responsible for all content published through your connected accounts.

You acknowledge and agree that:

• MyDirector publishes content only in accordance with your instructions or approvals, unless you expressly authorize the use of automated publishing features.
• You are responsible for ensuring that all published content complies with applicable laws and the policies of the relevant social media platform.
• MyDirector does not guarantee that content will be published successfully, remain publicly available, or achieve any particular level of visibility or engagement.
• Social media platforms may reject, remove, restrict, demonetize, label, or otherwise take action against published content at their sole discretion.

MyDirector shall not be responsible for account suspensions, content removals, reduced visibility, algorithmic changes, or enforcement actions taken by third-party platforms.

15. Acceptable Use Policy

You agree to use the Services responsibly, lawfully, and in accordance with these Terms. You may use the Services only for their intended purposes and in a manner that does not interfere with the rights of others, the security or operation of the Services, or the integrity of connected third-party platforms.

Without limiting the foregoing, you agree that you will not, directly or indirectly:

• Use the Services in violation of any applicable law, regulation, court order, or governmental requirement.
• Upload, generate, publish, or distribute content that is unlawful, fraudulent, defamatory, obscene, abusive, harassing, discriminatory, hateful, or otherwise objectionable.
• Upload or distribute content that infringes or misappropriates any copyright, trademark, patent, trade secret, privacy right, publicity right, or other proprietary right of any person or entity.
• Use the Services to create or distribute misleading, deceptive, or intentionally false information.
• Use the Services to promote illegal activities, violence, terrorism, or other harmful conduct.
• Introduce viruses, malware, ransomware, malicious code, or other harmful technologies into the Services.
• Attempt to gain unauthorized access to the Services, user accounts, connected platforms, networks, or systems.
• Reverse engineer, decompile, disassemble, copy, modify, or create derivative works of the Services except as expressly permitted by applicable law.
• Interfere with, disrupt, overload, or impair the operation, security, or availability of the Services.
• Circumvent or attempt to bypass any security measures, authentication mechanisms, usage limits, or technical restrictions implemented by MyDirector.
• Use automated scripts, bots, crawlers, scraping tools, or other automated means to access or interact with the Services except as expressly authorized by MyDirector.
• Use the Services to collect, harvest, or process personal information about other users without appropriate legal authority.
• Misrepresent your identity, affiliation, qualifications, or authority.
• Share your Account credentials or permit unauthorized individuals to access your Account.
• Use the Services in a manner that violates the terms, community guidelines, advertising policies, or developer policies of any connected third-party platform.
• Attempt to use the Services to develop, benchmark, or improve competing products or services without MyDirector's prior written consent.
• Use the Services in any manner that could expose MyDirector, its users, or third parties to legal, regulatory, reputational, or security risks.

MyDirector reserves the right to investigate suspected violations of this Section and may suspend, restrict, or terminate your access to the Services, remove or disable access to content, report unlawful conduct to appropriate authorities, or take any other action reasonably necessary to protect the Services, its users, or third parties. Nothing in this Section limits MyDirector's other rights or remedies available under these Terms, applicable law, or equity.

16. Intellectual Property Rights

MyDirector owns all rights, title, and interest in and to the Services, including all software, source code, object code, algorithms, artificial intelligence systems, machine learning models, prompts, workflows, databases, user interfaces, designs, graphics, trademarks, service marks, trade names, logos, documentation, APIs, proprietary methodologies, and all related technology and materials, together with any updates, modifications, improvements, or derivative works. Except for the limited rights expressly granted under these Terms, no ownership rights are transferred to you, and you are granted only a limited, non-exclusive, non-transferable, revocable license to access and use the Services in accordance with your Subscription.

If you submit any feedback, suggestions, ideas, enhancement requests, or other input regarding the Services, you grant MyDirector a perpetual, worldwide, irrevocable, royalty-free, sublicensable, and fully paid-up license to use, reproduce, modify, adapt, publish, distribute, create derivative works from, and otherwise exploit such feedback for any purpose, without restriction or obligation to compensate or credit you. You represent that you have all necessary rights to provide such feedback and that it does not infringe any third-party rights.

You agree not to copy, reproduce, distribute, sell, lease, sublicense, reverse engineer, decompile, disassemble, or otherwise attempt to access or derive the source code, underlying models, prompts, algorithms, or architecture of the Services. You further agree not to use automated tools, scraping technologies, or similar methods to extract data, and not to use the Services or its outputs to develop, train, or improve competing products, services, or artificial intelligence systems without prior written consent from MyDirector. You may not use MyDirector’s trademarks, branding, or proprietary materials without authorization, and any unauthorized use may result in suspension or termination of your Account and possible legal action.

All rights not expressly granted to you under these Terms are reserved by MyDirector and its licensors. Nothing in these Terms shall be interpreted as granting any implied rights, licenses, or ownership interests in MyDirector’s intellectual property. MyDirector reserves the right to freely develop, modify, improve, license, and commercialize the Services and underlying technologies at its sole discretion. Your ownership of your User Content remains unchanged, except for the licenses granted to MyDirector as necessary to provide the Services under these Terms.

17. Privacy and Data Protection

MyDirector processes personal information in accordance with applicable privacy and data protection laws, including GDPR, CCPA/CPRA, and other relevant U.S. state laws. All collection, use, storage, disclosure, and retention of personal data are governed by our Privacy Policy, which is incorporated into these Terms.

By using the Services, you confirm that you have read and understood our Privacy Policy and agree that your data will be processed as described therein. Certain information is necessary to provide the Services, and failure to provide it may limit access to some features. In the event of any conflict between these Terms and the Privacy Policy, the Privacy Policy will prevail.

For users in the EEA, UK, Switzerland, and similar jurisdictions, we process personal data on a lawful basis, implement appropriate safeguards, respect data subject rights, and support rights such as access, correction, deletion, portability, and objection, subject to applicable law. Users in certain U.S. states may also have rights to access, delete, correct, and opt out of certain processing activities. MyDirector does not sell personal information as defined under applicable law.

MyDirector operates from the United States, and your personal information may be transferred to, stored in, and processed in the U.S. or other countries where our service providers or we operate.

MyDirector may exchange data with Third-Party Services as necessary to operate the Services, but is not responsible for any issues arising from their use, including service interruptions, data loss, security incidents, or changes in functionality. Third-Party Services may also collect and process data independently under their own policies.

We may add, remove, or change Third-Party Services at any time as the Platform evolves. Where changes materially affect core functionality, we will aim to reflect such updates in the Services or related documentation where reasonably possible.

20. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS” BASIS.

MYDIRECTOR MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, QUALITY, AVAILABILITY, OR THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS. YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK.

MyDirector does not guarantee that the Services will always be available, uninterrupted, error-free, or fully compatible with all devices, browsers, operating systems, or third-party integrations. The Services may experience downtime or interruptions due to maintenance, updates, security issues, third-party outages, or events outside our control. We may suspend, modify, or discontinue any part of the Services at any time where necessary, subject to applicable law.

AI-generated content may be inaccurate, incomplete, biased, or unsuitable for your intended use. MyDirector does not guarantee the accuracy, originality, legality, or fitness of AI outputs, or that they will achieve any specific result. You are solely responsible for reviewing and approving all AI-generated content before use. MyDirector is not liable for any decisions or actions taken based on AI outputs.

The Services are provided for content creation and automation purposes only. Nothing within the Services constitutes legal, financial, tax, medical, or other professional advice. You are responsible for obtaining independent professional advice before relying on any information provided through the Services.

The Services depend on third-party platforms and providers, which MyDirector does not control. We make no warranties regarding their availability, security, performance, or policies. Third-party services may change, suspend, or restrict functionality at any time, which may affect how the Services operate. MyDirector is not responsible for any resulting loss, disruption, or data issues.

21. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MYDIRECTOR, ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, SUBPROCESSORS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, SUCCESSORS, AND ASSIGNS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, SPECIAL, PUNITIVE, OR ENHANCED DAMAGES ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Without limiting the foregoing, MyDirector shall not be liable for any damages arising from or relating to loss of profits, revenue, income, business opportunities, or anticipated savings, loss of customers, goodwill, reputation, or brand value, Loss, corruption, alteration, or deletion of data or User Content, business interruption or downtime, delays in publishing or processing content, errors, inaccuracies, omissions, or limitations in AI-generated content, decisions made by you based on AI-generated outputs or analytics, actions or omissions of human editors, suspension, restriction, removal, or termination of third-party social media accounts, changes to third-party APIs, algorithms, or platform policies, unauthorized access to your Account resulting from your failure to protect your credentials, cyberattacks, malware, ransomware, denial-of-service attacks, or other malicious acts by third parties, and events beyond MyDirector's reasonable control, including internet outages, force majeure events, or failures of third-party providers.

To the fullest extent permitted by law, MyDirector's aggregate liability for all claims arising out of or relating to the Services or these Terms shall not exceed the greater of the total amount actually paid by you to MyDirector for the Services during the twelve (12) months immediately preceding the event giving rise to the claim; or One Hundred U.S. Dollars (US$100), if you have not made any payments to MyDirector.

The limitations and exclusions of liability set forth in this Section apply regardless of the form of action, whether in contract, tort, negligence, strict liability, statute, or otherwise, and shall survive the termination or expiration of these Terms.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, fraudulent misrepresentation, willful misconduct, gross negligence where such limitation is prohibited, death or personal injury caused by negligence where applicable, or any other liability that cannot legally be excluded or limited.

22. Indemnification

You agree to defend, indemnify, and hold harmless MyDirector, its affiliates, licensors, service providers, subprocessors, officers, directors, employees, contractors, agents, successors, and assigns (collectively, the “MyDirector Indemnified Parties”) from and against any and all claims, demands, actions, proceedings, investigations, liabilities, damages, judgments, settlements, fines, penalties, losses, costs, and expenses, including reasonable attorneys' fees and legal costs, arising out of or relating to:

• Your access to or use of the Services.
• Your User Content, including interview recordings, uploaded materials, AI-generated content that you publish or distribute, and any other content associated with your Account.
• Your violation of these Terms or any applicable policy.
• Your violation of any applicable law, regulation, or governmental requirement.
• Your infringement or alleged infringement of any intellectual property, privacy, publicity, contractual, or other rights of any third party.
• Any content that you approve for publication through the Services.
• Your misuse of artificial intelligence features or reliance on AI-generated outputs.
• Your violation of the terms, policies, or community guidelines of any third-party platform.
• Your negligence, fraud, willful misconduct, or unlawful acts.
• Any dispute between you and another user or third party arising from your use of the Services.

MyDirector reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you. If MyDirector elects to do so, you agree to cooperate fully in the defense and settlement of such matter.

You shall not settle any claim that imposes any obligation, admission of liability, or restriction upon a MyDirector Indemnified Party without MyDirector's prior written consent, which shall not be unreasonably withheld, conditioned, or delayed.

The indemnification obligations set forth in this Section shall survive the termination or expiration of these Terms and remain in effect to the fullest extent permitted by applicable law.

23. Suspension and Termination

23.1 Suspension by MyDirector

MyDirector may suspend, restrict, or terminate your Account or access to the Services at any time, with or without notice, if we reasonably believe you have violated these Terms, provided false information, engaged in unlawful activity, failed to pay fees, compromised account security, misused the Services, or created legal, security, or operational risks.

We may also act where required by law, court order, or third-party platform requirements. Where appropriate, we may provide notice and an opportunity to resolve the issue before permanent termination.

23.2 Termination by User

You may cancel your Account or Subscription at any time through the Services or by contacting us. Cancellation generally takes effect at the end of the current billing period. Upon termination, you may lose access to AI interviews, generated content, analytics, connected integrations, and other Account-related features. Termination does not relieve you of any payment obligations already incurred.

23.3 Effect of Termination

Once your Account is suspended or terminated, your access to the Services will stop and associated features may be disabled or removed. Some obligations under these Terms will continue to apply after termination, including payment obligations accrued before termination, and provisions relating to intellectual property, confidentiality, disclaimers, liability limits, indemnification, and dispute resolution.

23.4 Data Following Termination

Following termination or deletion of your Account, MyDirector will process your personal information in accordance with its Privacy Policy and applicable law.

Subject to our legal obligations, backup procedures, and legitimate business needs:

• Access to your Account and associated content may be disabled.
• Certain User Content may be deleted or anonymized within a reasonable period.
• Backup copies may temporarily remain until overwritten in the ordinary course of business.
• Information may be retained where necessary to comply with legal obligations, resolve disputes, enforce these Terms, detect or prevent fraud, protect the security of the Services, or exercise or defend legal claims.

You are responsible for downloading or exporting any User Content that you wish to retain before requesting deletion of your Account, to the extent such functionality is made available through the Services.

24. Export Controls and Sanctions

The Services may be subject to export control, economic sanctions, and trade laws and regulations of the United States and other applicable jurisdictions. You represent and warrant that:

• You are not located in, ordinarily resident in, or organized under the laws of any country or territory that is subject to comprehensive trade sanctions or embargoes imposed by the United States or other applicable governmental authorities.
• You are not identified on any governmental list of prohibited, restricted, or sanctioned persons or entities, including those maintained by the U.S. Department of the Treasury's Office of Foreign Assets Control (“OFAC”), the U.S. Department of Commerce, or other applicable governmental authorities.
• You will not use the Services in violation of any applicable export control, sanctions, or trade laws.
• You will not permit any person or entity prohibited by applicable law from accessing or using the Services through your Account.

You agree not to export, re-export, transfer, release, download, or otherwise make available the Services, or any software, technology, technical data, artificial intelligence functionality, or related materials provided by MyDirector, in violation of applicable export control or sanctions laws.

MyDirector reserves the right to suspend, restrict, or terminate access to the Services if it reasonably believes that continued access would violate applicable export control, sanctions, or trade laws or expose MyDirector to legal or regulatory risk.

Nothing in this Section requires MyDirector to provide the Services where doing so would violate applicable export control, sanctions, anti-boycott, or other trade-related laws or regulations.

25. Changes to Services and Terms

MyDirector may modify, update, suspend, or discontinue any part of the Services at any time to reflect product improvements, security updates, legal requirements, or business needs. This may include adding or removing features, changing AI functionality, adjusting pricing or plans, updating integrations, or modifying technical requirements. While we aim to minimize disruption, we do not guarantee that any feature will remain available or unchanged.

We may also revise these Terms from time to time. Updates will be reflected by changing the “Last Updated” date, and where required by law or where changes are material, we may provide additional notice via email, in-app notifications, or website updates. Continued use of the Services after changes take effect means you accept the updated Terms. If you do not agree, you must stop using the Services and may cancel your Account and Subscription.

No changes requested by request will be effective unless agreed in writing by MyDirector.

26. Governing Law and Dispute Resolution

These Terms and any dispute, claim, controversy, or cause of action arising out of or relating to these Terms, the Services, or the relationship between you and MyDirector shall be governed by and construed in accordance with the laws of the State of Florida, without giving effect to any conflict of law principles that would require the application of another jurisdiction's laws.

Before initiating any formal legal proceeding, the parties agree to make a good-faith effort to resolve any dispute informally. A party seeking to raise a dispute should provide written notice describing the nature of the dispute and the relief sought. The parties agree to cooperate in good faith to attempt to resolve the matter within thirty (30) days following receipt of such notice.

If the parties are unable to resolve the dispute through informal discussions, either party may pursue any remedies available under applicable law.

Unless otherwise required by applicable law, you agree that any legal action or proceeding arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in Pinellas County, Florida, and you irrevocably consent to the personal jurisdiction and venue of those courts.

To the fullest extent permitted by applicable law:

• Any claim must be brought in the individual capacity of the parties and not as a plaintiff or class member in any purported class, collective, consolidated, representative, or private attorney general action.
• Each party waives any right to a trial by jury in any action or proceeding arising out of or relating to these Terms or the Services.
• No failure or delay by either party in exercising any right or remedy shall constitute a waiver of that right or remedy.

Nothing in these Terms prevents either party from seeking temporary, preliminary, or permanent injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property, Confidential Information, or other proprietary rights where such relief is appropriate.

If any provision of this Section is found to be unenforceable under applicable law, the remaining provisions shall continue in full force and effect to the maximum extent permitted by law.

27. Electronic Communications

By creating an Account, accessing, or using the Services, you consent to receive communications from MyDirector electronically, including through email, in-app notifications, text messages (where applicable), or other electronic means.

Electronic communications may include, without limitation, account notifications, security alerts, password reset requests, billing and payment notices, subscription renewals, product updates, changes to the Services, updates to these Terms or our policies, customer support communications, and other notices relating to your use of the Services.

You agree that all agreements, notices, disclosures, policies, records, and other communications that MyDirector provides electronically satisfy any legal requirement that such communications be in writing.

You are responsible for maintaining a current and accurate email address and other contact information associated with your Account. MyDirector is not responsible for any delay or failure to receive communications resulting from inaccurate contact information, spam filtering, technical issues, or your failure to monitor your communication channels.

Where required by applicable law, you may withdraw your consent to receive electronic communications; however, doing so may limit or prevent your ability to access or use certain features of the Services.

28. Miscellaneous

28.1 Entire Agreement

These Terms, together with the Privacy Policy, Cookie Policy, Data Processing Agreement (where applicable), and any other policies, guidelines, or agreements expressly incorporated by reference, constitute the entire agreement between you and MyDirector concerning the Services and supersede all prior or contemporaneous agreements, understandings, negotiations, representations, and communications, whether written or oral, relating to the subject matter of these Terms.

28.2 Assignment

You may not assign, delegate, transfer, sublicense, or otherwise dispose of any of your rights or obligations under these Terms without MyDirector's prior written consent. MyDirector may assign, transfer, delegate, or otherwise dispose of these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, corporate restructuring, financing, sale of assets, or operation of law. Any unauthorized assignment by you shall be null and void. These Terms shall be binding upon and inure to the benefit of the parties and their respective permitted successors and assigns.

28.3 Severability

If any provision of these Terms is held by a court or other authority of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permitted by applicable law, and the remaining provisions shall remain in full force and effect. 28.4 Waiver

No failure or delay by MyDirector in exercising any right, power, or remedy under these Terms shall operate as a waiver of that right, power, or remedy.

Any waiver of any provision of these Terms shall be effective only if made expressly in writing and signed by an authorized representative of MyDirector. A waiver of any breach or default shall not constitute a waiver of any subsequent breach or default.

28.5 Force Majeure

MyDirector shall not be liable for any delay, interruption, failure to perform, or inability to provide the Services resulting from causes beyond its reasonable control, including but not limited to natural disasters, floods, fires, earthquakes, or severe weather events, epidemics or pandemics, war, terrorism, civil unrest, or governmental actions, labor disputes or shortages, power outages, internet or telecommunications failures, cyberattacks or other malicious acts by third parties, failures or interruptions of third-party providers, cloud infrastructure, payment processors, artificial intelligence providers, or social media platforms, and any other event beyond MyDirector's reasonable control. MyDirector will use commercially reasonable efforts to resume performance as soon as reasonably practicable following such an event.

28.6 Survival

The provisions of these Terms that by their nature should survive the suspension, termination, or expiration of your Account or these Terms shall survive, including, without limitation Intellectual Property Rights, User Content licenses, Privacy and Data Protection obligations, Payment obligations accrued prior to termination, Disclaimers, Limitation of Liability, Indemnification, Governing Law and Dispute Resolution, Export Controls and Sanctions, Miscellaneous provisions, and any other provisions necessary to give effect to the intent of these Terms.
